Terms of Service

By accessing or using TopLoader (“the Service”), operated by TopLoader (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

These terms apply to all users of the Service, including shop owners, administrators, and employees.

TopLoader is a SaaS platform designed to help card shops run and track deals, including real-time pricing calculations and related business workflows. Access is granted on a per-organization (shop) basis under a monthly subscription.

Access to the Service requires account creation via our authentication provider. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must provide accurate and complete information when setting up your account. You may not share your login credentials with others or allow unauthorized access to your account.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or any related systems
• Introduce malicious code, viruses, or other harmful software
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit spam or unsolicited communications
• Scrape, crawl, or harvest data from the Service by automated means

You retain ownership of all data you enter into the Service, including deal records, inventory, customer information, and shop settings (“Your Data”). You grant us a limited license to store, process, and display Your Data solely for the purpose of providing the Service to you.

We do not sell Your Data to third parties. See our Privacy Policy for full details on how your data is handled.

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience outages that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime.

Subscription plans. The Service is offered on a monthly subscription basis. Current plan pricing is displayed at toploader.io/pricing. We reserve the right to modify pricing with at least 30 days' advance notice to active subscribers.

Free trial. New organizations may be eligible for a 7-day free trial. No charge is made during the trial period. At the end of the trial, your subscription automatically converts to a paid plan and your payment method on file will be charged. Each organization is eligible for one free trial; re-subscribing after cancellation does not reset trial eligibility.

Auto-renewal. Subscriptions renew automatically on a monthly basis until canceled. You authorize us to charge your payment method on file at the start of each billing cycle. You can cancel at any time through the billing portal in your account settings; cancellation takes effect at the end of the current billing period.

Plan changes. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated charges applied to your next invoice. Downgrades take effect at the start of the next billing cycle and may be subject to seat limit restrictions.

Payment failure. If a scheduled payment fails, we will attempt to collect payment and may suspend or terminate access to the Service until payment is resolved. We are not liable for any loss of data or business interruption resulting from suspension due to non-payment.

Refund policy. All subscription fees are non-refundable except where required by applicable law. We do not issue partial-month refunds upon cancellation. Refunds may be granted at our sole discretion in cases of documented billing errors.

Payment processing. Payments are processed by Stripe. We do not store your full payment card details on our servers. By providing payment information, you also agree to Stripe's Terms of Service.

Certain early customers (“Founding Members”) may be granted discounted pricing as a reward for supporting TopLoader during its early access period. Founding Member pricing is applied as a discount to your monthly subscription and is subject to the following conditions:

• Founding Member pricing is tied to continuous, uninterrupted subscription. If your subscription is canceled for any reason — including voluntary cancellation, non-payment, payment failure, chargeback, or account termination — Founding Member pricing is permanently forfeited and will not be reinstated upon re-subscription.
• Founding Member pricing applies to the plan tier held at the time of the founding discount grant. Upgrading to a higher plan tier will apply the discount to the new plan price at our discretion.
• We reserve the right to modify or discontinue the Founding Member program with 60 days' advance notice to affected subscribers.

You may cancel your subscription at any time through the billing portal in your account settings. Your access will continue through the end of your current paid billing period.

We reserve the right to suspend or terminate your access to the Service for violations of these Terms, non-payment, or other reasonable circumstances necessary to protect the Service or its users.

Upon termination or cancellation, we will make your data available for export for 30 days before deletion. After that period, we may permanently delete your data.

Each plan includes a maximum number of team seats as described on our pricing page. If you exceed the seat limit for your plan, you must upgrade to a higher plan tier or remove team members to bring your account within the allowed limit. We reserve the right to restrict access for organizations that exceed their plan limits.

The Service is provided “as is” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or uninterrupted.

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, lost data, or business interruption. Our total liability to you for any claim arising out of or relating to the Service shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

TopLoader provides pricing calculations and deal tools for convenience only. All pricing decisions are made solely by the user. We are not responsible for any financial outcomes, losses, or disputes resulting from use of the Service or reliance on any values it displays.

We do not guarantee the accuracy of any market values, calculations, or data entered by users or generated through the Service. Users are responsible for verifying pricing before making any business decision.

You agree to indemnify, defend, and hold harmless TopLoader and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may update these Terms from time to time. We will notify active users of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Colorado.
